SAURUS LICENSE AGREEMENT
PLEASE READ THIS SOFTWARE LICENSE AGREEMENT CAREFULLY BEFORE ACCEPTING THE SOFTWARE. BY ACCEPTING, YOU AGREE TO BE BOUND BY THE TERMS OF THIS LICENSE AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE AGREEMENT, YOU ARE NOT AUTHORIZED TO USE THE SOFTWARE.
1. LICENSE
All right and title to the software (including templates) and documentation which is accompanied by this License Agreement (the "Saurus software") is proprietary of Saurused OÜ ("Saurus") or its suppliers. Saurus grants the end user of the Saurus Software who is a party to this License Agreement ("Licensee") a perpetual, non-exclusive, non-transferrable license to use the Saurus Software in accordance with the terms stated in this License Agreement. The rights granted pursuant to this License are contingent upon the Licensees duly payment of the license fees for the Saurus Software.
This License permits the Licensee to;
- Install one (1) copy of the Saurus Software on one (1) single computer at a time.
- Create one (1) Web Site. That is set up one (1) Virtual HTTP Server.
Complementary licenses may be applied from Saurus or its authorised representative.
2. RESTRICTIONS
Except as permitted by applicable law and this License Agreement, the Licensee may notdecompile, reverse engineer, disassemble, rent, lease, loan, sublicense, or create derivative works from the Saurus Software. The Licensee may not investigate the Saurus Software for the purpose of creating competing programs. The Licensee may not make copies of the Saurus Software other than a reasonable amount of back-up copies of the Saurus Software in machine-readable form, provided such copies are used for back-up only and provided all such copies include all copyright information contained on the original.
The Saurus Software may not be utilised for hosting other Web Sites than specified in this License Agreement.
3. TECHNICAL SUPPORT
No technical support is provided under this License Agreement.
4. DISCLAIMER OF WARRANTY
The Saurus Software is provided "AS IS" and without warranty of any kind. Saurus expressly disclaims any and all warranties whether express or implied. No oral or written information or advice given by Saurus shall create a warranty. Saurus does not warrant that the functions contained in the Saurus Software will meet the Licensees requirements, or that the operation of the Saurus Software will be uninterrupted or error-free, or that defects in the Saurus Software will be corrected. Saurus Software designated as alpha, beta, development, pre-release, untested, or not fully tested, may contain errors that could cause failures or loss of data, and may be incomplete or contain inaccuracies.
5. LIMITATION OF LIABILITY
Under no circumstances, including negligence, shall Saurus be liable for any incidental, special, indirect or consequential damages arising out of or relating to this License Agreement. In no event shall Saurus's total liability to the Licensee for all damages exceed the amount of the license fees paid by the Licensee under this License Agreement.
6. GOVERNING LAW AND SEVERABILITY
Any action related to this License Agreement shall be governed by the laws of Estonia. Any dispute, controversy or claim arising out of or in connection with this License Agreement, or the breach, termination or invalidity thereof, shall be settled by the Tallinna Linnakohus in Tallinn, Estonia. If for any reason any provision, or portion thereof, is to be held unenforceable, this agreement will remain in effect with the provision omitted.
7. COMPLETE AGREEMENT
This License Agreement constitutes the entire agreement between the parties with respect to the use of the Saurus Software and supersedes all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of this License Agreement will be binding unless in writing and signed by Saurus.
